HERO PLAN TERMS
General. As part of monday.com Ltd.’s (“monday.com”) efforts in supporting disaster response, monday.com hereby grants you, on behalf of your employer or any other entity you represent (“you” or “your”), a right to use the monday.com platform (the “Service”) and receive such support in accordance with and as elaborated on the then current HERO Plan pricing page available at www.mondayERT.org as may be updated from time to time (collectively, “HERO Plan”). The subscription to the Hero Plan shall initially be for a one year period, which may renew subject to these Hero Terms and you continuing to meet the eligibility criteria. The HERO Plan Services (as defined below) shall be used by your personnel within your internal operations, as a mechanism to manage and assist in humanitarian aid. Terms of Use. These HERO PLAN Terms (“HERO Terms”) shall be read together with the monday.com Terms of Service available at: https://monday.com/l/legal/tos/ (“Terms of Service”), all of which shall govern the use of the Service, together with all training, consultation, resources and support (“Hero Support”) which are provided together with the Service (collectively, “HERO Plan Services”). In case of a conflict between the Terms of Service and the HERO Terms, the latter shall prevail, unless otherwise expressly stated herein. You represent and warrant that (i) you have full legal authority to bind your employer or such entity you represent (as applicable) to these HERO Terms (ii) your organization meets the eligibility criteria for the HERO Plan (as set forth on the pricing page), and (iii) you shall abide by all applicable laws related to your use of the HERO Plan Services. If at any point in time you no longer meet the eligibility criteria, you shall immediately notify monday.com of such.No Consideration. The limited seats to the Service and the Hero Support provided as part of the HERO Plan shall be provided by monday.com free of charge, subject to the provisions herein and you continuing to meet the eligibility criteria. In addition, monday.com reserves the right to change or terminate the HERO Terms and HERO Plan, including eligibility to participate in the HERO Plan at any time, according to its sole discretion.Warranty Disclaimer; Limitation of Liability. Notwithstanding anything hereunder or in the Terms of Service to the contrary, monday.com and its affiliates, subcontractors, agents and vendors (including, any third party service providers integrated with the Service), hereby disclaim any and all representations and warranties of any kind with respect to the HERO Plan Services (or any portion thereof), including without limitation that: (i) the HERO Plan Services (or any portion thereof, including integrations with third parties) are, complete, accurate, of any certain quality, reliable, suitable for, or compatible with, any of your contemplated activities, devices, software or tools (or that it will remain as such at any time), (ii) the HERO PLAN Services will be uninterrupted, timely, secured, error free, that the data will not be lost or that the defects will be corrected, and/or (iii) the HERO Plan Services comply with any laws applicable to you. TO THE FULL EXTENT ALLOWED BY LAW, YOU AGREE THAT MONDAY.COM AND ITS AFFILIATES, SUBCONTRACTORS, AGENTS AND VENDORS WILL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES OR FOR ANY OTHER DAMAGES WHATSOEVER INCLUDING ANY LOSS OF PROFITS, COSTS, ANTICIPATED SAVINGS, ANY LOSS OF, OR DAMAGE TO DATA, USE, BUSINESS, REPUTATION, REVENUE OR GOODWILL, AND/OR THE FAILURE OF SECURITY MEASURES AND PROTECTIONS, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY OR OTHERWISE, AND WHETHER OR NOT SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, THAT ARISE OUT OF OR ARE RELATED TO ANY ASPECT OF THE HERO PLAN SERVICE AND/OR THESE HERO TERMS.
